1. Who we are and when these terms apply

“Varipro Trading”, “we”, “us” and “our” refer to Varipro Trading (Pty) Ltd, a company registered in South Africa. “You” refers to the customer or website visitor.

These terms describe our general arrangements for direct product sales, sourcing services and promotional branding. They apply to an order when supplied to you before acceptance and incorporated into the agreed quotation or order confirmation. Browsing the website or sending an enquiry does not place an order or commit you to a purchase.

Any special terms must be agreed in writing. The written quotation and order confirmation set out the specific products, services, price and delivery arrangements. Mandatory legal rights take precedence over any conflicting term.

For purchases through a marketplace, that marketplace’s applicable order, payment, delivery and returns procedures also apply. These terms do not replace those procedures or limit statutory rights.

2. Product information and images

Website and catalogue content helps you explore possible products. Stock, colours, sizes, specifications, included accessories and branding suitability are confirmed for the particular order. We will not substitute a confirmed product without your agreement.

Some lifestyle and promotional images are illustrations. Images marked as concepts or branding mock-ups are illustrative examples, not completed client orders or a guarantee of included packaging. “Your Logo Here” shows a possible branding position. The actual product, packaging, branding method and approved artwork will be identified in your quotation or proof.

Screen colours may differ from physical materials. Tell us before ordering if an exact colour, fit or finish is essential so that we can discuss specifications or a sample. This does not excuse goods that materially differ from the agreed description or approved specification.

3. Quotations, prices and order acceptance

Quotations are valid for the period stated in the quotation. We confirm availability before accepting an order. A catalogue listing or enquiry acknowledgement is not an order acceptance.

Your quotation will identify the goods and services, quantities, applicable VAT, branding or artwork charges, delivery charges and any other agreed costs. Any price displayed as product-only excludes only the additional costs expressly identified with it. The full amount payable will be confirmed before you commit.

An order is accepted when we issue written acceptance or an order confirmation after agreeing the details with you. If we discover an error before acceptance, we will explain it and offer a corrected quotation or allow you to withdraw. We will not impose an unapproved price increase on an accepted order.

4. Payment

Payment dates, any deposit and the balance payable are stated in the agreed quotation or order confirmation. No fixed deposit percentage or credit arrangement applies unless agreed in writing. Production, procurement or dispatch may depend on the agreed payment being received.

We will explain the effect of late payment on the order schedule. Payments received for an order we cannot fulfil will be dealt with in accordance with your legal rights; a refund will not be replaced with store credit without your agreement where a refund is due.

If you receive a request to change bank details, verify it directly with us using our published contact number before paying.

5. Sourcing services

Sending a sourcing enquiry is free and does not create a paid engagement. Any paid research, sourcing, procurement or coordination work requires your prior agreement to the scope, fee, payment basis and intended deliverables.

We will identify whether Varipro Trading is supplying the goods to you or providing an agreed sourcing or agency service. Any separate supplier contract and the allocation of responsibilities will be explained before you commit. Describing an order as sourcing does not remove responsibilities that the law places on Varipro Trading as a supplier.

An enquiry does not guarantee that a particular product can be obtained. Suitability, certification requirements and any installation or specialist services must be addressed in the agreed specification.

6. Branded and personalised orders

Branding methods, positions, sizes, colours, minimum quantities and any setup or sample costs are confirmed in the quotation. We require written approval of the artwork proof and agreed payment before personalised production begins.

Please check names, spelling, contact details, logo versions, dimensions, placement, quantities and garment sizes carefully. You are responsible for the accuracy of the content you approve and for having permission to use the artwork, trade marks or other material you provide.

Changes after approval may affect costs and timing. We will obtain your agreement to additional charges before proceeding. Any acceptable production tolerances must be explained before approval; there is no blanket permission to depart from the approved proof.

Artwork approval does not excuse defective workmanship or our failure to follow the approved specification. We will not publish your logo or completed order as client work without your permission.

7. Delivery and collection

Delivery or collection arrangements, destination, charges and the expected timeframe are agreed for each order. Please disclose fixed event dates or other essential deadlines before acceptance. International supply is considered individually; customs, import charges and clearance responsibilities must be agreed in advance.

We will notify you of material delays or stock problems and discuss available options. A delay does not remove your applicable cancellation or refund rights. We will not hold you responsible for a loss caused by our failure to meet our legal delivery obligations.

Please provide accurate delivery information and ensure reasonable access for the agreed delivery. Any additional charge for a failed delivery or a requested change must be reasonable, explained and lawful.

Inspect goods when reasonably possible and report missing, damaged or incorrect items promptly, with photographs if available. This request helps us investigate and does not impose a shortened deadline on statutory claims.

8. Cancellations, returns and refunds

Contact us as soon as possible if you wish to change or cancel an order. We will explain the applicable options and any lawful, reasonable charges. We do not apply a blanket “no refunds” rule.

Where the Electronic Communications and Transactions Act gives you a cooling-off right, you may cancel an eligible online purchase within seven days after receiving the goods, without a cancellation penalty. The direct cost of returning the goods may be payable by you where the law permits. Refunds under that cooling-off provision are made within 30 days of cancellation.

For an eligible electronic service transaction, the corresponding cooling-off period is seven days after the agreement is concluded. A statutory exception may apply where services have begun with your consent before that period ends. We will explain any applicable exception before beginning paid work.

Goods made to your specifications or clearly personalised can fall outside that particular cooling-off right. After approved personalised production begins, a change-of-mind cancellation may not be available. Any proposed cancellation charge will be explained and limited to what the law permits. Defects, incorrect goods and failures to follow the approved order remain subject to applicable legal remedies.

For other change-of-mind returns, the policy agreed before the order applies. Contact us for return instructions rather than sending goods to a supplier without arrangement. You should take reasonable care of goods being returned; original packaging is helpful but is not a condition that removes statutory defect rights.

9. Defects, warranties and product use

Where the Consumer Protection Act applies, goods that fail to meet its quality standards may be returned within six months of delivery, at the supplier’s risk and expense, and the consumer may choose repair, replacement or refund as provided by the Act. These remedies are in addition to other applicable rights.

Any additional manufacturer or supplier warranty will be identified where available. It does not replace statutory protections. We will assist with a valid claim relating to goods we supply rather than treating a manufacturer warranty as your only remedy.

Use products for their intended purpose and follow supplied care and safety instructions. Damage caused by misuse, unauthorised alteration or failure to follow applicable instructions will be assessed on the facts and in accordance with the law. No website image or generic workwear description is a claim of a particular safety certification.

10. Responsibility and liability

Nothing in these terms limits or excludes any right, remedy or obligation that cannot lawfully be limited or excluded.

Responsibility for any claim will be determined under applicable law and the terms validly agreed for the relevant order.

11. Website use and intellectual property

You may use this website to review our services, make enquiries and retain information relevant to your order. Do not misuse forms, attempt unauthorised access, introduce malicious software or copy protected website content for commercial use without permission.

Rights in Varipro Trading’s identity and original content remain with the relevant rights holder. Rights in customer-supplied artwork remain with its owner; you permit us and the service providers involved in your order to use it only as needed to prepare and fulfil the agreed work.

External links, including WhatsApp and marketplaces, lead to services with their own terms and privacy practices. This website offers product information and enquiries; it does not collect card details or take payments.

Varipro Trading operates this website and is responsible for its products, services and customer support. Use of third-party hosting or technical services does not imply endorsement or certification of our business by those providers.

12. Privacy and personal information

Our Privacy Notice explains catalogue requests, enquiries, hosting, necessary disclosure, cookies, retention and your rights. Catalogue request details are not published and do not subscribe you to unrelated marketing.

Only send information and artwork you are authorised to share. Do not send payment-card details, passwords, identity documents or health information through the website. Please contact admin@variprotrading.co.za for access, correction, deletion or withdrawal requests.

13. Changes and applicable law

We may update these terms for future enquiries and orders by publishing a revised date. The version supplied and agreed for an existing order continues to apply unless a lawful change is agreed with you; updates are not applied retrospectively to remove your rights.

South African law applies to our direct agreements unless another lawful arrangement is expressly agreed. This does not remove mandatory rights that apply to a particular customer or cross-border transaction. If a provision is invalid, the remaining lawful provisions continue to apply.

14. Contact and complaints

Please contact us with your order reference, a description of the issue and supporting information where available. We will review your concern and discuss a resolution. You remain free to use any competent court, regulator, ombud or other dispute process available under applicable law.
